AMDana License Terms

1. The license

AMDana grants the subscribing organization ("Customer") a non-exclusive, non-transferable right to access and use the AMDana hosted platform within its own isolated tenant for the tier and term purchased. The software is licensed, not sold.

2. Tiers and limits

Atlas includes up to 5 active seats and no AI features. Prometheus includes up to 10 active seats and limited AI features (AI Review Queue and Grants Intelligence). Zeus includes unlimited seats and full AI integration. A seat is an active account in the tenant, internal or external. Upgrades take effect immediately and are prorated.

3. Term, fees and billing

1. Term. Every licence is a 36-month contract that begins on the date Customer signs up. After the initial 36 months it renews automatically for 12 months at a time unless either party gives written notice at least 90 days before the end of the current term. Notice received later than that ends the following term. Contracts accepted under an earlier version of these terms keep the renewal and notice terms they were accepted under. Any delay in provisioning not caused by Customer extends the contracted period of use by the same length.
2. Listed prices. Monthly listed prices at the version date: Atlas $699; Prometheus $899; Zeus $999. No tax is added. Payments are processed by Square.
3. Name Your Own Price (first year). Customer's first-year price is set by the price wheel at signup. It is never above the listed price and never more than 10% below it. The result is binding on both parties the moment the wheel stops: it cannot be cancelled, refreshed or exited, and Customer's card is charged that exact price at once. Name Your Own Price applies to the first-year bill only.
4. Annual payment. If Customer elects, before the wheel turns, to pay annually beginning on the day of signup, a further 10% is deducted from every year's bill, including the first (a maximum first-year discount of 20%). Otherwise Customer pays monthly: the first-year price for twelve months, then the listed price. Every later year, including each renewal, bills at the listed price (less the annual-payment discount, if elected) on each anniversary.
5. Payment method. Customer must keep a valid credit card on file with Square. The first payment and each later billing period are charged to it on their dates. A declined charge is retried on days 1, 3 and 7 after its date; if it is still declined the tenant may be suspended until payment is made.
6. Provisioning fee. The provisioning fee for the tier (Atlas $6,950; Prometheus $8,500; Zeus $11,500) is charged with the first payment. If Customer prepays the first year, half of the fee is charged and the other half is waived; if Customer pays monthly, the full fee is charged and nothing is waived. If the contract is cancelled before the end of the current term, or ends without the 90 days' notice in 3(a), the amount waived on that contract becomes charged and due at that time, with no tax added, to the card on file. On contracts accepted under an earlier version of these terms, the amount waived is the whole fee.
7. No trial. There is no free plan and no trial period. The tenant is active on payment.

4. Provisioning and the tenant

On payment confirmation AMDana creates the Customer tenant and an administrator account for the email supplied at checkout. AMDana will not create a tenant that would conflict with an existing organization or reuse an administrator email already registered; in that case the payment is refunded or the order corrected with Customer.

5. Customer responsibilities

Customer administers its own users, roles, invitations and configuration; keeps credentials confidential; enforces its own policies and training; and uses the platform lawfully. Customer is the controller of the data it enters.

6. Data, privacy and security

AMDana processes Customer data only to provide the service. AMDana maintains the technical safeguards described at amdana.app/security and will execute a Business Associate Agreement where Customer is a covered entity or business associate under HIPAA. Customer may export its data at any time through the application.

7. Suspension and termination

AMDana may suspend a tenant for non-payment after 14 days' notice or immediately for a material security threat. On termination or expiry, Customer has 30 days of read-only access to export data, after which the tenant and its backups are scheduled for deletion.

8. Service levels and support

AMDana targets 99.5% monthly availability excluding announced maintenance. Support is by email for Atlas, priority email for Prometheus, and dedicated onboarding with quarterly reviews for Zeus.

9. Warranties and liability

The service is provided with reasonable skill and care. To the extent permitted by law, AMDana's aggregate liability in any twelve-month period is limited to the fees paid by Customer in that period, and neither party is liable for indirect or consequential loss.

10. General

These terms, the order completed at checkout and any executed BAA form the entire agreement. AMDana may update these terms for future renewals with 30 days' notice. Governing law: State of Maryland, United States.
